GENERAL COUNSEL SERVICES FOR THE SMALL BUSINESS - HELPING SMALL BUSINESS OWNERS AND BUSINESS START-UPS

Every small business owner needs their own General Counsel: an attorney that he or she can turn to for trusted guidance and legal advice on all aspects of their business.  Many of my clients have me on retainer and simply use and pay for my services as issues arise; it's like having your own attorney on staff, but only when you need it!

Business Entity Selection, Formation and Governance - There are several different types of entities each of which have advantages and disadvantages.  I will assist you in determining which entity best meets your needs and goals; file the appropriate certificates with the State; develop by-laws, operating agreements and business continuation plans; and help you with WMBE certification, applicable business licensing, registered agent services, general annual corporate filings and other governance issues.

General Corporate Counsel Services - Once you have started your business, I will be available to draft, review and negotiate contracts necessary to the successful operation of your business, including services contracts, sales contracts, licensing agreements, non-disclosure agreements, leases and commercial real estate contracts.  I will help develop website Terms & Conditions, including Privacy Policies, employee handbooks and policy manuals, employment contracts and separation agreements and be available as a trusted resource to discuss general business issues and concerns with you.  Additionally, I can connect you with a network of business professionals who can advise you on the financing, accounting and insurance needs of your business.

Purchase and Sale of Small Businesses - If you decide to purchase an existing business or sell your own, I can provide guidance throughout the entire process: from evaluating the risks and benefits of buying or selling a business to guiding you through the due diligence process.  I can draw up the purchase and sale contract; and work with you through each step of the transaction: including contingencies for financing, leasing and transfer of licenses; judgment and lien searches; non-compete agreements and the final closing process.
